TERMS OF SALE

The following Terms of Sale (the "Branded Stores Terms of Sale") contain the terms and conditions that govern your purchase of designated products (“Products”) as offered on and through this website (the "Branded Store") by Printful, Inc., a Delaware corporation with its principal place of business at 11025 Westlake Dr., Charlotte, NC 28273, USA (“Printful”, “we”, “us” or “our”). The Branded Store is made available and your purchase of Products is otherwise subject to your acceptance without modification of these Terms and our Terms of Service and, if you choose to utilize our gift card program, our Gift Card Program Terms and Conditions (collectively, the “Agreement”). In the event of any conflict between the terms and conditions of these Branded Stores Terms of Sale and the terms and conditions contained in the Terms of Service as available from time to time at https://www.printful.com/policies/terms-of-service (the “Terms of Service”), the terms and conditions set forth in these Terms shall control solely with respect to the Products.

SECTION 18 OF OUR TERMS OF SERVICE REQUIRES THAT EXCEPT AS OTHERWISE PROVIDED THEREIN, ALL DISPUTES, INCLUDING DISPUTES ARISING FROM OR RELATING TO THE AGREEMENT SHALL BE RESOLVED BY ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN BY JURY TRIAL OR CLASS ACTIONS.

BY PLACING AN ORDER FOR PRODUCTS USING THE BRANDED STORE, YOU ACCEPT AND ARE BOUND BY THE AGREEMENT, INCLUDING THESE TERMS. YOU MAY NOT ORDER OR OBTAIN PRODUCTS OR SERVICES FROM THE BRANDED STORE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH PRINTFUL, OR (C) ARE PROHIBITED FROM ACCESSING OR USING THE BRANDED STORE OR ANY OF ITS CONTENTS, GOODS OR SERVICES BY APPLICABLE LAW

Printful collects your personal data to provide our services. Printful's Privacy Policy explains how we process your personal information when you use the Site and/or purchase a Product. Please read it very carefully. 

The Agreement and Branded Store Access and Use

The Agreement comprises the entire agreement between Printful and you ("you" or “your”), superseding any prior agreements between you and Printful with respect to its subject matter. The Agreement constitutes a legally binding agreement made between you, Printful, and where relevant other Printful Parties (as defined below), concerning your access to and use of the Branded Store. For avoidance of doubt, “Printful Parties” shall include (a) Printful, (b) Printful’s subsidiaries, affiliated companies, and joint ventures, and (c) the officers, directors, members, managers, equity holders, agents, and employees of Printful and its subsidiaries, affiliated companies, and joint ventures.

Printful reserves the right, at its sole discretion, to change, modify, add, or delete portions of these Terms at any time without further notice. Printful will post any changes to these Terms on the Branded Store. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. All changes are effective immediately when we post them and apply to all access to and use of the Branded Store thereafter. Your continued use of the Branded Store following the posting of revised Terms means that you accept and agree to the changes. We encourage you to periodically review this page for the latest information on our Terms, as they are binding on you. Supplemental terms and conditions or documents that may be posted on the Branded Store from time to time are hereby expressly incorporated herein by reference. Printful may terminate your right to and deny you access to this Site if, in our sole discretion, you fail to comply with any term or provision of this agreement, or for any other reason whatsoever. 

By using the Branded Store, you represent and warrant that you are at least eighteen (18) or the legal age of majority in the jurisdiction where you reside, and that you have the right, authority, and capacity to enter into this agreement and to abide by all of the terms and conditions of this agreement. The policy of Printful, as the operator of this Site, is to NOT knowingly collect any personal information from persons under the legal age, including “individually identifiable information,” as defined by the Children’s Online Privacy Protection Act (“COPPA”). If you are under the legal age, you should leave the Branded Store without providing any information about yourself. Any access to or use of this Site by anyone under the legal age requires consent to this agreement by a parent or legal guardian. By accessing or using the Branded Store, you represent and warrant to us that you are either a legal adult or, if under the legal age, have obtained proper consent from a parent or legal guardian to your use of the Branded Store and to be subject to the terms of this agreement, and you agree to take full responsibility for your selection and use of the Branded Store. This agreement is void where prohibited by law, and the right to access or use the Branded Store is revoked in such jurisdictions.

Payment Processing and Fees

We may, in our sole discretion, use (i) a third-party, PCI-DSS-compliant payment processor (“Payment Processor”) and/or (ii) a Merchant of Record ("MoR") to process any payments made through the Branded Store and to handle related liabilities, including but not limited to, tax compliance, chargebacks, and other payment-related obligations (the Payment Processor and/or MoR, as applicable from time to time, collectively or individually, the “Payment Services Provider”). By placing an order for a Product or Products, you agree to your payment and billing information being processed by the Payment Services Provider. The processing of payments may be subject to additional terms, conditions, and privacy policies of the Payment Services Provider in addition to these Terms and as disclosed to you at the time of and through the applicable transaction. Printful is not responsible for these financial transactions, the security of your financial information with respect to these transactions, and any errors by the Payment Services Provider. You acknowledge and agree that we are not responsible for any unauthorized charges or other breach of your financial information and/or security.

By placing a Product order and making payments through the Branded Store, you agree to pay us—through the Payment Services Provider—all charges at the prices then in effect for any use of such payment processing in accordance with the applicable payment terms and you authorize us, through the Payment Services Provider, to charge your chosen payment provider (your “Payment Method”) as soon as you have confirmed your order. You agree to make payment using that selected Payment Method, and you agree that you are an authorized user of the Payment Method. We reserve the right to correct any errors or mistakes that the Payment Services Provider makes even if it has already requested or received payment.

The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer, or other provider of your chosen Payment Method. 

Printful may refuse to accept an order or provide services at its discretion and is not liable for such refusals. Fees and payments will be quoted in US dollars, and you are responsible for paying all associated costs, taxes, and - if applicable - duty fees and other fees associated with duties. Payment must be made and received by Printful in full before the Products are dispatched.

Printful may offer discounts at its discretion and can change, suspend, or discontinue them at any time.

Returns and Refunds

Since Products are made-to-order and automatically sent to fulfillment once an order is placed and the payment is made and received in full, by placing an order for a Product you agree that returns or refunds will not be accepted except as stipulated herein. We do not offer or guarantee that order cancellation is available, and thus have no obligation to ensure it and will have no liability if cancellation is not available.

Returns or refunds will only be offered when a Product arrives damaged, defective, or not in line with reasonably expected quality standards. In such case, you have the right to request a replacement Product or refund within 30 (thirty) days of the delivery of a Product, with us having the right to request proof, such as photographs, to review the claim.

Furthermore, for order packages lost in transit, you must submit all claims no later than 30 (thirty) days after the estimated delivery date, including in case an order has not been delivered due to the fault of the carrier or in case of an invalid address.

Risk of loss or damage passes to you upon our delivery to the carrier, and it is your responsibility to file claims with the carrier for lost shipments. Printful cannot guarantee delivery to P.O. boxes.

Warranty Disclaimer 

THE BRANDED STORE, ITS CONTENT, AND THE MATERIALS AND PRODUCTS ON THE BRANDED STORE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. INFORMATION ACCESSIBLE THROUGH THE BRANDED STORE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND FOR YOUR CONVENIENCE. YOUR USE OF AND RELIANCE ON THE BRANDED STORE AND ANY CONTENT AVAILABLE IS AT YOUR OWN RISK. YOU ACKNOWLEDGE THAT INFORMATION TRANSMITTED THROUGH THE INTERNET IS NEVER COMPLETELY SECURE.

NEITHER PRINTFUL NOR ANY PARTY ON PRINTFUL’S BEHALF HAS MADE OR MAKES ANY REPRESENTATIONS OR WARRANTIES WHATSOEVER, EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE AND MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW. PRINTFUL DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED IN THE BRANDED STORE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE BRANDED STORE OR THE SERVER THAT MAKES THE BRANDED STORE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FURTHER, PRINTFUL MAKES NO REPRESENTATIONS OR WARRANTIES THAT COMMUNICATIONS BETWEEN YOU AND PRINTFUL, OR ANOTHER USER OF THE BRANDED STORE, WILL BE SECURE FROM INTERFERENCE, VIRUS-FREE, OR FREE OF OTHER HARMFUL COMPONENTS. PRINTFUL DOES NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS IN THE BRANDED STORE IN TERMS OF THEIR CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY OR OTHERWISE. YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED UPON ANY REPRESENTATION OR WARRANTY MADE BY PRINTFUL OR ANY PARTY ON PRINTFUL’S BEHALF. SOME STATES DO NOT PERMIT LIMITATIONS OR EXCLUSIONS ON WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

LIMITATION OF LIABILITY 

NEITHER PRINTFUL, NOR ANY OF PRINTFUL’S EMPLOYEES, SUBSIDIARIES, AFFILIATES, AGENTS, REPRESENTATIVES, DISTRIBUTORS, OR LICENSORS WILL BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY OR OTHERWISE), ARISING FROM OR OTHERWISE RELATED TO THE PRODUCTS OR YOUR USE OF, OR INABILITY TO USE, THE BRANDED STORE OR THE ASSOCIATED SERVICES, IN EACH CASE INCLUDING BUT NOT LIMITED TO: (1) DEATH, PERSONAL INJURY, PROPERTY DAMAGE, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, LOST DATA ,OR LOST PROFIT; (2) ATTORNEYS’ FEES; OR (3) ANY OTHER INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF PRINTFUL HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.  

WITHOUT LIMITING THE FOREGOING, PRINTFUL WILL NOT BE LIABLE FOR ANY DAMAGE TO YOUR COMPUTER, TELECOMMUNICATION EQUIPMENT, OR OTHER PROPERTY CAUSED BY OR ARISING FROM YOUR ACCESSING OR USE OF, OR INABILITY TO USE, THE BRANDED STORE, OR FROM YOUR DOWNLOADING OF ANY CONTENT OR MATERIALS FROM THE BRANDED STORE, OR FOR ANY DAMAGES ARISING OUT OF A THIRD PARTY’S UNAUTHORIZED ACCESS TO AND USE OF YOUR PERSONAL INFORMATION STORED ON OUR COMPUTERS AND/OR SERVERS. PRINTFUL WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND THAT YOU ALLEGE ARISE OUT OF OR ARE RELATED TO YOUR USE OF THE BRANDED STORE AND ASSOCIATED SERVICES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF PRINTFUL, OR ITS PARENT, EMPLOYEES, SUBSIDIARIES, AFFILIATES, AGENTS, REPRESENTATIVES, DISTRIBUTORS, OR LICENSORS—WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY—ARISING OUT OF OR RELATING TO THE PRODUCTS AND YOUR USE OF THE BRANDED STORE EXCEED ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID TO PRINTFUL DURING AN APPLICABLE TRANSACTION, WHICHEVER IS LESS.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATION MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Indemnification 

You agree to indemnify, defend, and hold harmless Printful, Printful Parties, and its and their officers, directors, employees, agents, licensors, and suppliers (collectively the "Service Providers") from and against all claims, judgments, demands, liabilities, losses, expenses, damages and costs, including reasonable attorneys' fees, which may arise from or be related to: (a) your use of the Branded Store; (b) Content you post or submit to the Branded Store; or (c) your breach of any provision of these Terms or any warranty provided hereunder. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. 

Typographical Errors 

In the event that any product listed on the Branded Store is mistakenly listed at an incorrect price, Printful reserves the right to refuse, correct, or cancel any orders placed for the product listed at the incorrect price. Please note that such errors, inaccuracies, or omissions may relate to service descriptions, pricing, and availability. Printful also reserves the right to limit the scope of services (including after you have submitted your request). Additionally, Printful reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Printful shall issue a credit to your credit card account in the amount of the incorrect price. We apologize for any inconvenience this may cause you.

Term; Termination 

These terms and conditions are applicable to you upon your accessing the Branded Store and/or completing the shopping process, and shall remain in full force and effect at all times while you use the Branded Store.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE BRANDED STORE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE BRANDED STORE WITHOUT WARNING, IN OUR SOLE DISCRETION. ADDITIONALLY, THESE TERMS AND CONDITIONS, OR ANY PART OF THEM, MAY BE TERMINATED BY PRINTFUL WITHOUT NOTICE AT ANY TIME, FOR ANY REASON. THE PROVISIONS RELATING TO DISCLAIMER, LIMITATION OF LIABILITY, INDEMNIFICATION AND MISCELLANEOUS, SHALL SURVIVE ANY TERMINATION.

Any rights not expressly granted herein are reserved by and for us.

YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL OF THE PROVISIONS CONTAINED ABOVE.

Printful will use commercially reasonable efforts to respond to and resolve any problem or question promptly.
